  • Tongwei Co., Ltd. complies with laws and regulations such as the "Criminal Law of the People's Republic of China," the "Anti-Monopoly Law of the People's Republic of China," and the "Anti-Unfair Competition Law of the People's Republic of China." The company always adheres to the business philosophy of "Sincerity, trustworthiness, integrity, and consistency," upholds high standards of business ethics, and opposes all forms of corruption and unfair competition. Tongwei actively takes measures to establish and improve the business ethics management system and policies, regularly conducts business ethics audits and training for all employees, and actively creates a fair, transparent, and incorruptible business environment.
    (1) Business Ethics Management Principles
    Tongwei commits to honest and compliant operations, establishing a comprehensive compliance system and risk management system, including anti-monopoly, improper competitive behavior, anti-commercial bribery, and anti-corruption. The company uses the strictest business ethics principles as the standard for action, controlling risks in business activities with clear systems and processes. In 2023, Tongwei updated, revised, and published the "Tongwei Co., Ltd. Business Ethics Conduct Guidelines," applicable to Tongwei Co., Ltd. and its subsidiaries, covering the following areas:
    Anti-corruption and anti-bribery
    Conflict of interest
    Competition and anti-monopoly
    Responsible marketing
    Business ethics audits and training
    Complaints, reporting, and whistleblower protection
    Business confidentiality agreements
    (2) Business Ethics Audits
    Tongwei conducts anti-corruption and business ethics audits regularly every year, ensuring that audits are carried out at least once every three years across all operational aspects, with increased frequency based on specific business needs. In 2022, Tongwei conducted 97 business ethics audits, covering its subsidiaries, both established and under construction, including routine and special audits on business ethics. The audit contents included, but were not limited to, anti-corruption, anti-bribery, responsible marketing, unfair competition, and information confidentiality.
    (3) Business Ethics Training
    Tongwei places high importance on fostering a culture of integrity and building compliance capabilities. The company conducts periodic online and offline business ethics training for its directors and all employees (including interns), requiring all staff to strictly adhere to laws, regulations, and professional ethical standards in their business operations and related activities. The training content includes, but is not limited to, the dissemination and promotion of policies on anti-corruption, anti-bribery, and anti-unfair competition, as well as training on responsible marketing and information confidentiality behavior standards.
    Results:
    In 2022, Tongwei conducted 470 anti-corruption training sessions, accumulating a total of 506.5 hours of training.
